Terms of Service

1. Introduction and Acceptance

These Terms of Service ("Terms") govern your use of the Islotly platform — including islotly.com, any related mobile applications, booking widgets, and associated services (collectively, the "Platform") — operated by Islotly ("Islotly," "we," "us," or "our").

By accessing or using the Platform, you agree to be bound by these Terms, our Privacy Policy, and our Terms of Use. If you do not agree to all of these, you must stop using the Platform immediately.

We may update these Terms at any time. Material changes will be communicated via email or a prominent notice on the Platform. Your continued use after changes are posted constitutes acceptance. Changes do not apply retroactively to bookings already confirmed before the update date.

2. Nature of the Platform and Islotly's Role

Islotly is a technology platform that enables customers ("Customers") to discover and book appointments with independent third-party service providers ("Business Partners"). Islotly acts solely as an intermediary and, where applicable, as a limited payment collection agent on behalf of Business Partners.

The contract for any appointment, service, or product is formed directly between you and the relevant Business Partner. Islotly is not a party to that contract and is not responsible for the performance, quality, safety, legality, or any other aspect of the services or products offered by Business Partners.

Business Partners operate independently and set their own pricing, availability, cancellation policies, and terms of sale. You are responsible for reviewing and agreeing to a Business Partner's specific terms before confirming a booking.

3. Account Registration and Eligibility

You must be at least the age of majority in your jurisdiction to create an account or make a booking. By registering, you represent that all information you provide is accurate, current, and complete, and that you will keep it up to date.

Guest checkout may be available for some bookings. Whether you book as a guest or registered user, these Terms apply in full.

You are solely responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at [email protected] if you suspect unauthorized use of your account. Islotly is not liable for losses resulting from unauthorized account access that is not attributable to our negligence.

4. Booking Appointments

4.1 Booking Process

When you submit a booking request through the Platform, you are making an offer to purchase services from the applicable Business Partner. A booking is confirmed only when you receive a written confirmation via email or SMS. Until confirmation is received, no binding contract exists between you and the Business Partner.

4.2 Accuracy of Information

You are responsible for providing accurate contact details, service preferences, and any relevant health or medical information that may affect the delivery of services. Islotly and Business Partners are not liable for any adverse outcomes resulting from your failure to disclose relevant information. You must communicate any special needs, allergies, or health considerations directly to the Business Partner prior to your appointment.

4.3 Business Partner Availability

Availability displayed on the Platform is provided by Business Partners and may not reflect real-time accuracy. Islotly does not guarantee that any particular time slot, professional, or service will be available at the time of booking. In the event of a scheduling conflict, the Business Partner will contact you to reschedule or cancel.

4.4 Waitlists

Where a Business Partner's schedule is fully booked, you may be offered the option to join a waitlist. Placement on a waitlist does not guarantee an appointment. If a slot becomes available, you will be notified via email or SMS. Islotly is not responsible for any loss or inconvenience arising from not being offered a waitlisted appointment.

5. Cancellation and Rescheduling

5.1 Customer Cancellations

Cancellation and rescheduling policies are set independently by each Business Partner and will be disclosed to you before you confirm your booking. You are responsible for reviewing these policies prior to booking. By confirming a booking, you agree to the Business Partner's cancellation terms.

Business Partners may charge a cancellation fee of up to 100% of the appointment value if you cancel or reschedule within their specified notice period, or if you fail to attend. Such fees may be charged automatically to your payment method on file.

5.2 No-Shows

If you fail to attend a confirmed appointment without cancelling in advance, the Business Partner may charge a no-show fee of up to the full value of the booked appointment. Repeated no-shows may result in suspension or termination of your Islotly account.

5.3 Business Partner Cancellations

Business Partners may cancel or reschedule appointments due to operational reasons. Islotly will make reasonable efforts to notify you as soon as possible. Islotly is not liable for any loss, inconvenience, or expenses arising from a Business Partner's cancellation or rescheduling of your appointment.

6. Payments and Pricing

6.1 Pricing

All prices displayed on the Platform are set by Business Partners and are subject to change without notice. Islotly does not guarantee the accuracy or completeness of any pricing information. The final price for a service may differ from the listed price if additional services are requested or agreed upon during the appointment.

6.2 Payment Processing

Where online payment is available, payments are processed by third-party payment processors. By submitting your payment information, you authorize the applicable payment processor to charge your payment method for the amounts due. Islotly acts as a limited collection agent on behalf of the Business Partner and is not a party to the payment transaction between you and the payment processor.

Islotly is not responsible for any errors, failures, or delays in payment processing caused by third-party payment processors, issuing banks, or other parties in the payment chain.

6.3 Taxes

Business Partners are solely responsible for determining, collecting, and remitting any applicable taxes (including sales tax, HST, GST, VAT, or similar) on the services and products they provide. Any tax obligations arising from your use of services through the Platform are your responsibility and that of the relevant Business Partner. Islotly does not provide tax advice.

6.4 Chargebacks

If you initiate a chargeback or payment dispute without first attempting to resolve the matter directly with Islotly or the Business Partner, we reserve the right to suspend your account pending investigation. Fraudulent or unjustified chargebacks may result in permanent account termination and recovery of amounts owed, including associated processing fees.

6.5 Platform Fees

Access to the Platform for Customers is currently provided free of charge. Islotly reserves the right to introduce fees for certain features or services in the future, with reasonable prior notice to affected users.

7. Refunds

Refund eligibility is determined primarily by the Business Partner's cancellation and refund policy, which is disclosed at the time of booking. Islotly does not issue refunds on behalf of Business Partners except where required by applicable law or at Islotly's sole discretion as a goodwill gesture in exceptional circumstances.

Where a Business Partner has provided a service that is materially different from what was booked, or failed to provide the service entirely, you should first raise the issue directly with the Business Partner. If unresolved, you may contact Islotly support at [email protected]. Islotly may, at its sole discretion and as a last resort, elect to provide a partial or full credit or refund for the disputed amount. This does not create any obligation for Islotly to do so in all cases.

For Customers in Canada or jurisdictions with statutory consumer protection rights, nothing in this section limits your rights under applicable law, including any mandatory cooling-off or refund rights.

8. Reviews and Ratings

Following an appointment, you may be invited to submit a review or rating. All reviews must be honest, accurate, and based on your genuine experience. You must not submit false, defamatory, or misleading reviews, or reviews in exchange for compensation (unless clearly disclosed).

Islotly reserves the right to moderate, edit, or remove reviews that violate these Terms or our content standards. By submitting a review, you grant Islotly a perpetual, royalty-free licence to display it on the Platform. Islotly does not endorse any review and is not liable for any content posted by users.

9. Promotional Codes and Vouchers

From time to time, Islotly or Business Partners may offer promotional codes or vouchers. These are subject to the specific terms attached to each offer, including expiry dates, usage restrictions, and eligible services.

  • Promotional codes and vouchers have no cash value unless required by law
  • Codes designated as personal are non-transferable and may only be used by the intended recipient
  • Islotly and Business Partners reserve the right to cancel or invalidate codes that are fraudulently shared, misused, or applied in violation of their terms
  • Islotly is not responsible for Business Partner vouchers that are not honored due to a Business Partner's closure, insolvency, or other operational reason
  • Unless stated otherwise, promotional offers may be withdrawn at any time without prior notice

10. User Conduct

You agree to treat all Business Partners and their staff with respect when using services booked through the Platform. Islotly reserves the right to suspend or terminate your account if you engage in any of the following:

  • Abusive, threatening, or harassing behavior toward Business Partners, their staff, or other users
  • Repeated no-shows or late cancellations without valid reason
  • Fraudulent activity, including submitting false payment information or filing unjustified chargebacks
  • Any conduct that, in Islotly's reasonable judgment, negatively impacts the experience of Business Partners or other users on the Platform
  • Violation of applicable law in connection with your use of the Platform

Business Partners also retain the right to refuse service to any Customer at their independent discretion, subject to applicable anti-discrimination laws.

11. Access Restrictions

Islotly reserves the right to restrict, suspend, or terminate your access to all or any part of the Platform at any time, with or without notice, if:

  • You have a history of no-shows, cancellations within the cancellation period, or chargebacks
  • You fail credit, fraud, or identity checks
  • We suspect fraudulent activity, money laundering, or other illegal conduct
  • Your account security has been compromised
  • You have engaged in inappropriate conduct toward Business Partners or their staff
  • You have breached these Terms, the Terms of Use, or the Privacy Policy
  • Your use of the Platform has a negative impact on other users or Business Partners

Termination of your account will result in cancellation of any pending bookings. Islotly is not liable for any loss arising from account suspension or termination in accordance with these Terms.

12. Business Partner Terms

Business Partners who register to offer services through the Platform enter into a separate agreement with Islotly governing their use of business-facing features. Business Partners are solely responsible for:

  • The accuracy of their business information, service listings, pricing, and availability on the Platform
  • Delivering services as described and in compliance with all applicable professional, health, safety, and licensing requirements
  • Setting and communicating their own cancellation, no-show, and refund policies
  • Complying with all applicable laws, including consumer protection, data protection, tax, and employment laws
  • Obtaining all necessary licenses, certifications, permits, and insurance required to operate their business
  • Maintaining their own privacy notices and obtaining required consents from their customers

Islotly does not endorse, certify, or verify the credentials, qualifications, or quality of any Business Partner. Islotly is not liable for the acts, omissions, or misconduct of any Business Partner.

13. Islotly's Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ISLOTLY EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

In particular, Islotly makes no representation or warranty regarding:

  • The quality, safety, suitability, or legality of any service or product offered by a Business Partner
  • The accuracy or completeness of Business Partner profiles, service descriptions, pricing, or availability
  • The conduct, professional qualifications, or performance of any Business Partner or their staff
  • The continuous, uninterrupted, or error-free operation of the Platform or payment services
  • The Platform's fitness for any particular purpose

14. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ISLOTLY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, data, or business opportunities
  • Any loss arising from the quality, failure to deliver, or cancellation of services by a Business Partner
  • Any loss arising from payment processor errors or failures
  • Any loss arising from unauthorized access to your account
  • Any loss arising from Platform unavailability, modifications, or discontinuation

ISLOTLY'S MAXIMUM AGGREGATE LIABILITY TO YOU ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO ISLOTLY IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS (USD $100 / CAD $100).

Nothing in these Terms excludes or limits liability for death or personal injury caused by Islotly's negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.

For users in Canada or other jurisdictions that do not permit the exclusion or limitation of certain implied warranties or consumer protection rights, the above limitations apply only to the extent permitted by law.

15. Indemnification

You agree to indemnify, defend, and hold harmless Islotly and its affiliates, officers, directors, employees, agents, and licensors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:

  • Your use of the Platform or any services booked through it
  • Your breach of these Terms or any applicable law or regulation
  • Your misrepresentation or provision of false or misleading account information
  • Your violation of any third-party rights
  • Any dispute between you and a Business Partner
  • Unauthorized access to your account by a third party due to your failure to maintain credential security

16. Complaints and Dispute Resolution

16.1 Complaints Process

If you have a complaint about a service received from a Business Partner, we encourage you to:

  1. Contact the Business Partner directly to resolve the issue
  2. Leave an honest review on the Platform to inform other users
  3. Contact Islotly support at [email protected] if the issue remains unresolved

While Islotly takes all complaints seriously, we are not responsible for the services provided by Business Partners and are under no obligation to provide a refund or remedy for a Business Partner's failure to perform. Any goodwill refund or credit issued by Islotly is entirely discretionary and does not constitute an admission of liability.

16.2 Disputes Between Users and Islotly

For disputes between you and Islotly, please refer to the Governing Law and Dispute Resolution provisions in our Terms of Use, including the good faith negotiation period and applicable arbitration or court processes.

17. Intellectual Property

The Platform and all associated content, software, trademarks, and other intellectual property are owned by or licensed to Islotly. Nothing in these Terms grants you any ownership rights in the Platform. All rights not expressly granted are reserved by Islotly.

Business Partners retain ownership of content they upload (such as business photos and service descriptions) and grant Islotly a non-exclusive, royalty-free licence to display such content on the Platform for the purpose of operating the service.

18. Privacy

Your use of the Platform is subject to our Privacy Policy, which is incorporated into these Terms by reference. Our Privacy Policy explains how we collect, use, and protect personal information, including your rights under Canadian law (PIPEDA, Quebec Law 25), US law (CCPA/CPRA), and other applicable privacy frameworks.

19. Non-Assignment

You may not assign, transfer, or sublicense any of your rights or obligations under these Terms without Islotly's prior written consent. Islotly may assign these Terms or any rights hereunder to an affiliate or in connection with a merger, acquisition, or sale of assets, without your consent.

20. Notices

Notices from Islotly to you may be delivered via the Platform, by email to the address associated with your account, or by other legally recognized means. Notices from you to Islotly should be sent by email to [email protected] for legal matters, or [email protected] for general inquiries.

21. Governing Law, Severability, and Entire Agreement

These Terms are governed by the laws of the State of Delaware, United States. For Canadian users, mandatory consumer protection laws of your province or territory apply to the extent required by applicable law.

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be severed and the remaining provisions shall continue in full force and effect. These Terms, together with the Privacy Policy and Terms of Use, constitute the entire agreement between you and Islotly regarding the Platform and supersede all prior agreements and understandings on the same subject matter.
